Terms & Conditions

Seobat S.r.l., with its registered office at Via Antonio Pranzelores 87, 38121 – Trento (TN) – Italy, Tax Code and VAT no. 02446620227 (hereinafter “AURA ZEN” or the “Company”), is the owner of the website www.aurazenshop.com (hereinafter, the “Website”).

These general terms and conditions of sale (hereinafter, “Terms and Conditions of Sale”) contain the terms and conditions that govern the purchase of products and goods made through the Website by end users (hereinafter “Customer/s”). The Terms and Conditions of Sale are entered into between AURA ZEN and you as the Customer.

These Terms and Conditions of Sale regulate and govern the service provided by AURA ZEN to the Customer through the Website. The service is aimed at the online sale of clothing items and accessories of other ranges.

  1. Acceptance of the general conditions of sale

1.1. The Terms and Conditions of Sale govern the contract entered into between AURA ZEN and the Customer, which is deemed to be concluded with the acceptance, even only partial, by AURA ZEN, of the order placed through the Website (as indicated below). By placing an order through the Website in the various ways provided, the Customer declares to be of legal age and to have taken note of all the information provided to him/her in this document and/or during the purchase procedure through the Website, and to fully accept the Terms and Conditions of Sale and payment set out below.

1.2. If the Customer does not intend to accept even only one of the terms and conditions of these Terms and Conditions of Sale, he/she is invited to refrain from using the service offered through the Website.

1.3. If the Customer is a consumer (i.e., a natural person who buys the goods for purposes not related to his/her professional activity, or does not make the purchase by indicating a VAT number in the order form as defined in article 3, paragraph 1, letter a) of the Consumer Code – hereinafter, the “Consumer”), at the time of Confirmation of the Order (as defined below), it will be AURA ZEN’s responsibility to send him/her by email, together with the confirmation notice, these Terms and Conditions of Sale that the Consumer will proceed to print or save and in any case keep, in compliance with the provisions of the current Consumer Code on distance selling.

1.4. Any right of the Customer to damages or compensation is excluded, as is any contractual or non-contractual liability for direct or indirect damage to persons and/or property, caused by non-acceptance, even partial, by AURA ZEN of an order placed through the Website.

  1. Purchase method

2.1. The Customer can only purchase the products present in the electronic catalogue at the time of sending the order and viewable online through the Website, as detailed in the relevant information sheets. It is understood that the image accompanying the descriptive card of a product may not be perfectly and completely representative of its features but may differ in color, size, products and accessories present in the picture. All information supporting the purchase is to be considered as simple generic informational material, not referable to the real characteristics of a single product. The Customer can at any time request more information using the contacts mentioned in the subsequent art. 15.

2.2. The correct receipt of the order placed through the Website is confirmed by AURA ZEN by an email reply, sent to the email address communicated by the Customer during the purchase (hereinafter, the “Confirmation of the Order”). The Confirmation of the Order will contain, in addition to these Terms and Conditions of Sale as per the previous art. 1.3, the date and time of execution of the order and a “Customer Order Number”, to be used in any further communication with AURA ZEN. The message reproduces all the data entered by the Customer, who undertakes to verify their correctness and to promptly communicate any necessary corrections, according to the procedures described in this document.

2.3. In the event of non-acceptance of the order and/or impossibility to fulfil it, AURA ZEN guarantees timely communication to the Customer.

2.4. The Customer, to conclude an order on the Website, must pay the price of the product, being able to choose to make the payment through: i) Credit Card, ii) PayPal, iii) cash on delivery, iv) Bank Transfer and v) Payment in instalments pursuant to the following arts. 3, 4, 5, 6 and 7.

3. Payment by Credit Card

3.1. In cases of purchasing products with payment by Credit Card, the transaction will be handled through the payment platform “Stripe.” In this case, the Customer does not need to have a Stripe account. The Stripe platform will immediately charge the amount for the purchase to the Customer’s Credit Card linked account upon the conclusion of the online transaction.

3.2. In case of order cancellation, either by the Customer or if the order is not accepted by AURA ZEN, the charged amount will be credited back to the Customer’s Credit Card linked account. The refund processing times, for some types of cards, depend solely on the Stripe platform and/or the banking system and may take until their natural expiration. Once the transaction is canceled, the Customer acknowledges and expressly accepts that AURA ZEN cannot be held responsible for any damages, direct or indirect, caused by delays in the release of the committed amount by Stripe and/or the banking system.

3.3. At no point during the purchase procedure, AURA ZEN can access the Customer’s Credit Card information, as it is transmitted through a secure connection directly to the Stripe platform, which handles the transaction. 3.4. Under no circumstances can AURA ZEN be held responsible for any fraudulent and improper use of credit cards by third parties during the payment of purchased products through the Website.

  1. Payment via PayPal

4.1. In cases of purchasing products with payment via PayPal, PayPal will immediately charge the amount for the purchase upon the conclusion of the online transaction.

4.2. In case of order cancellation, either by the Customer or if the order is not accepted by AURA ZEN, the amount related to the canceled products will be credited back to the Customer’s PayPal account. The refund processing times to the chosen payment instrument within the PayPal account depend solely on PayPal and the banking system. Once the amount is refunded to the PayPal account, AURA ZEN cannot be held responsible for any damages, direct or indirect, caused by delays in the actual refund depending on PayPal or the banking system.

4.3. AURA ZEN reserves the right to request additional information from the Customer (e.g., fixed phone number) to determine the actual ownership of the PayPal account. In the absence of the requested documentation, AURA ZEN reserves the right not to accept the order.

4.4. At no point during the purchase procedure, AURA ZEN can access information regarding the buyer’s credit card or other selected methods within PayPal. For more details, please refer to the following link: https://www.paypal.com/it/webapps/mpp/ua/privacy-full.

4.5. Under no circumstances can AURA ZEN be held responsible for any fraudulent and improper use of credit cards by third parties during the payment of purchased products.

  1. Cash on Delivery Payment (COD)

5.1. The Customer is free to select the cash on delivery payment method. AURA ZEN may, at its discretion, contact the Customer by phone to verify the correctness of the order details.

5.2. In this case, in addition to the total amount of the order, an additional service cost specified on the order page will be charged to the Customer in cash at the time of order delivery.

5.3. Once the products are handed over to the courier, the Customer will be notified by email of the expected delivery date. If the Customer fails to pick up the purchased products, or if the courier is unable to deliver them to the Customer or a person designated by the Customer, the products will be returned to AURA ZEN, and the return expenses will be borne by the Customer.

  1. Payment via Bank Transfer

6.1. In cases of purchasing products with payment via Bank Transfer, the Customer must make a bank transfer for the total amount of the order to the following bank details:

6.2. In case of order cancellation, either by the Customer or if the order is not accepted by AURA ZEN, the charged amount will be credited back to the Customer’s bank account. The refund processing times depend solely on the banking system and may take until their natural expiration. Once the transaction is canceled, the Customer acknowledges and expressly accepts that AURA ZEN cannot be held responsible for any damages, direct or indirect, caused by delays in the release of the committed amount by the banking institution.

6.3. At no point during the purchase procedure, AURA ZEN can access information regarding the Customer’s bank account. In fact, no AURA ZEN computer archives will retain such data.

6.4. Under no circumstances can AURA ZEN be held responsible for any fraudulent and improper use of payment information by third parties.

7. Payment by Installments

7.1. In cases of purchasing products with installment payment methods, at the same time as concluding the online transaction, Scalapay will proceed to charge the amount related to the purchase made, based on the agreed-upon schedule between the Customer and Klarna or Scalapay (e.g., in three monthly installments). For more information on the possibility of accessing deferred payments through Scalapay, please refer to the General Conditions of the Scalapay Platform.

7.2. In the event of order cancellation, either by the Customer or in case of non-acceptance of the order by AURA ZEN, the amount related to the canceled products will be credited back to the same payment instrument used by the Customer. The timing of the reimbursement to the chosen payment instrument through Klarna or Scalapay depends solely on Scalapay and the banking system. Once the reimbursement is processed, under no circumstances can AURA ZEN be held responsible for any damages, direct or indirect, caused by delays in the actual reimbursement, which are dependent on Klarna or Scalapay or the banking system.

7.3. AURA ZEN reserves the right to request additional information from the Customer (e.g., fixed phone number) to determine the actual ownership of the Scalapay account. In the absence of the requested documentation, AURA ZEN reserves the right not to accept the order.

7.4. At no point during the purchase process is AURA ZEN able to access information related to the buyer’s credit card or other methods chosen within Scalapay. For more details, please refer to the following link: https://www.scalapay.com/en/privacy.

7.5. AURA ZEN cannot be held responsible for any fraudulent and unauthorized use of credit cards by third parties at the time of payment for purchased products.

7.6. If you purchase with Scalapay, you will receive your order immediately and pay in 3 installments. Please note that the installments will be assigned to Incremento SPV S.r.l., related parties, and their assignees, and you authorize such assignment.

  1. Delivery Methods and Charges

8.1. For each order placed, AURA ZEN issues a receipt for the shipped material, sending it via email to the order recipient indicated by the Customer, in accordance with the applicable regulations.

8.2. Shipping and delivery charges (for which reference can be made to the tables published on the Website) are borne by the Customer, except where AURA ZEN may apply more favorable policies for the Customer, for example, by undertaking the delivery costs when a certain amount is exceeded. Payment by the Customer will be made using the chosen method at the time of the order. No additional amount is due by the Customer beyond the total order amount.

8.3. AURA ZEN cannot be held responsible for any delays in order processing or delivery of the ordered items. However, if the Customer is a Consumer, AURA ZEN commits to delivering the goods to the consumer without delay and no later than thirty days from the date of conclusion of the contract, as provided for by Article 61, paragraph 1, of the Consumer Code.

8.4. The delivery of the ordered items is considered to be made at street level unless otherwise communicated by AURA ZEN customer service or as provided in the technical product sheet available on the Website.

8.5. Upon delivery of the goods by the courier, the Customer is required to check:

  • that the number of packages delivered corresponds to what is indicated in the advance email transport document;
  • that the packaging is intact, undamaged, not wet, or otherwise altered, including the closure materials (adhesive tape or metal straps).

8.6. Any damages to the packaging and/or the product or any discrepancy in the number of packages or indications must be immediately reported by the Customer, sending a specific communication to AURA ZEN and indicating “WRITTEN INSPECTION RESERVE” (specifying the reason for the reservation, e.g., “torn packaging,” “crushed packaging,” etc.) on the courier’s delivery document. Once the courier’s document is signed, the Customer cannot make any complaints about the external characteristics of the delivered goods.

8.7. In case of product return by the Customer, all expenses, charges, and costs will be solely borne by the Customer.

8.8. In the event of non-collection within 3 (three) working days of the material held in storage at the courier’s warehouses due to repeated impossibility of delivery to the address indicated by the Customer at the time of the order, the ordered items will be returned to AURA ZEN’s warehouses, and the costs related to storage and return to the warehouse will be charged to the Customer, without prejudice to the refund of the price of the purchased item, where applicable.

8.9. AURA ZEN shall not be held responsible for any delays in delivery solely attributable to the courier. In no way can AURA ZEN be held responsible for any damages caused by the courier due to delayed or non-delivery, as the contract is deemed completed with the sending of the Order Confirmation. However, AURA ZEN is committed to collecting any reports of non-delivery or delays in the delivery of products and assisting the Customer in protecting their rights as required by law.

  1. Right of Withdrawal

9.1. Under the Consumer Code, if the Customer is a Consumer, he/she has the right to withdraw from the purchase contract and these Sales Conditions for any reason, without the need to provide explanations and without any penalty, subject to the provisions of the following points.

9.2. The Customer has the right to withdraw from the contract within 30 (thirty) days. The period to exercise the right of withdrawal expires after 30 (thirty) days from the day on which the Customer or a third party, other than the carrier and designated by the Customer, acquires physical possession of the purchased products.

9.3. To exercise the right of withdrawal, the Customer is required to inform AURA ZEN, using the contacts provided in the following article 15, of his/her decision to withdraw from these Sales Conditions through an explicit statement.

9.4. To comply with the withdrawal deadline, it is sufficient for the Customer to send the communication regarding the exercise of the right of withdrawal before the withdrawal period expires as indicated above.

9.5. If the Customer withdraws from this contract within the above-mentioned period, AURA ZEN will reimburse the Customer for the price of the products that he/she has purchased through the Website and that are the subject of withdrawal, without undue delay and in any case no later than 14 (fourteen) days from the day on which AURA ZEN received information about the Customer’s decision to withdraw from this contract. This refund will be made using the same means of payment used by the Customer for the initial transaction unless the Customer has expressly agreed otherwise; in any case, AURA ZEN guarantees that the Customer will not incur any costs as a consequence of such reimbursement.

9.6. The Customer acknowledges and expressly agrees that AURA ZEN shall have the right to suspend the above-mentioned refund until the receipt of the products or until the Customer demonstrates that he/she has returned the goods, whichever is earlier.

9.7. The Customer shall return the goods or deliver them to AURA ZEN without undue delay and in any case within 14 (fourteen) days from the day on which he/she communicated to AURA ZEN the intention to withdraw from this contract, attaching the original delivery receipt.

9.8. The products must be returned intact, complete with all its parts and in the original packaging (bags and boxes), preserved and possibly used with ordinary diligence, without signs of wear or dirt, in compliance with the conditions of points 11.7 and 11.8. As provided for in art. 57, paragraph 2, of the Consumer Code, the Customer shall be responsible for any decrease in the value of the goods resulting from handling the goods in a manner other than that necessary to establish the nature, characteristics, and functioning of the goods.

9.9. The right of withdrawal is subject to the following conditions:

  • the right applies to the product purchased through the Website in its entirety, and it is not possible to exercise withdrawal only on part of the purchased product;
  • the shipping costs related to the return of the goods are borne by the Customer;
  • the shipment, until the certification of receipt in the AURA ZEN warehouse, is under the complete responsibility of the Customer;
  • in case of damage to the products during transportation, AURA ZEN will notify the Customer of the incident (within 5 working days of receipt of the damaged goods in its warehouses) to allow the Customer to promptly report the incident to the chosen courier and obtain a refund of the value of the goods (if insured) from the courier. In this case, the product will be made available to the Customer for return, while canceling the withdrawal request;
  • AURA ZEN is not responsible in any way for damages or theft/loss of goods returned with uninsured shipments.

9.10. Except as provided in this contract and in Article 57, paragraph 2 of the Consumer Code, AURA ZEN will reimburse the Customer the full amount already paid through the reversal procedure of the amount charged to the Current Account, Credit Card, or Paypal/Scalapay account. In the case of payment by cash on delivery, AURA ZEN will reimburse the Customer the full amount already paid by bank transfer to the Customer’s account. In this case, it is the Customer’s responsibility to promptly provide their banking details with IBAN code for the reimbursement.

  1. Exceptions to the Right of Withdrawal

10.1. In accordance with Article 59 of the Consumer Code, the right of withdrawal under Articles 52 to 58 of the Consumer Code for distance contracts and contracts negotiated away from business premises is excluded with regard to:

  • the supply of goods made to the consumer’s specifications or clearly personalized;
  • the supply of goods that are liable to deteriorate or expire rapidly;
  • the supply of sealed goods which are not suitable for return due to health protection or hygiene reasons and were unsealed after delivery (e.g., intimate garments, products in contact with pets);
  • the supply of digital content not provided on a tangible medium if the performance has begun with the consumer’s prior express consent and his/her acknowledgment that he/she thereby loses the right of withdrawal.
  1. Warranties

11.1. All products sold by AURA ZEN through the Website are covered, if applicable, by the manufacturer’s conventional warranty and the 24-month warranty for defects of conformity, in accordance with the Consumer Code. To benefit from warranty assistance, the Customer must keep the invoice and/or receipt received via email in electronic format.

11.2. The manufacturer’s conventional warranty, if applicable, is provided according to the methods illustrated in the documentation inside the product package. If the defect is not covered by the manufacturer’s conventional warranty, the Customer will be charged for any verification and restoration costs, as well as shipping costs, if incurred by AURA ZEN.

11.3. The 24-month warranty for defects of conformity is subject to Articles 128 to 132 of the Consumer Code. This warranty applies to the product that presents a lack of conformity to the contract, and therefore, in the case of manufacturing defects or original design defects, provided that the product itself is used correctly, in compliance with its intended use and the information provided in any attached technical documentation. By way of example and not exhaustive, the warranty of conformity does not apply in case of product modification, normal wear and tear of the product, inappropriate use of the product, failure to comply with product maintenance rules, and damages caused by transportation or storage of the product.

11.4. This warranty is reserved for Consumers. In case of a defect of conformity, AURA ZEN will provide, at no cost to the Customer, the restoration of the product’s conformity through repair/replacement or a price reduction until the contract is terminated. If, following the intervention by AURA ZEN, the defect is not found to be a lack of conformity according to the Consumer Code, the Customer will be charged for any verification and restoration costs, as well as shipping costs, if incurred by AURA ZEN.

11.5. In the event that, for any reason, AURA ZEN is unable to return a product under warranty (repaired or replaced), AURA ZEN may, at its discretion, refund the amount paid, taking into account the use of the item, or replace it with a product of equal or greater characteristics.

11.6. The timing of repair or eventual replacement of the product is exclusively dependent on the manufacturer’s policies, and no damages can be claimed from AURA ZEN for any delays in performing repairs or replacements.

11.7. In cases where the application of warranties requires the return of the product, the goods must be returned by the Customer in the original packaging, complete in all its parts (including packaging and any documentation and accessory equipment) to limit damage to the original packaging. It is recommended to place it in a second box; the application of labels or adhesive tapes directly to the original packaging of the product should be avoided in all cases.

11.8. The Customer will be provided with an authorization number for the return of the product (ARP), which must be indicated on the outside of the package, following the instructions provided directly in the authorization email.

  1. Intellectual and Industrial Property Rights

12.1. AURA ZEN informs that the Website, as well as all trademarks and distinctive signs used by AURA ZEN in relation to the sale of products, are protected by applicable intellectual and industrial property rights. Any type of reproduction, communication, distribution, publication, alteration, or transformation, in any form and for any purpose, of the content of the Website, the trademarks, and the distinctive signs used by AURA ZEN (such as, for example, works, images, photographs, designs, dialogues, presentations, music, sounds, videos, graphics, colors, features, and design of the Website) is prohibited.

12.2. AURA ZEN assumes no responsibility regarding the trademarks and other distinctive signs appearing on the products marketed by AURA ZEN on the Website, with respect to which the Customer acquires no rights following the conclusion of the contract.

  1. Processing of Personal Data

13.1. The personal data requested during the order submission phase are collected and processed to meet the Customer’s specific requests and will not be transferred to third parties under any circumstances. AURA ZEN guarantees its customers compliance with the legislation on the processing of personal data, as regulated by EU Regulation 2016/679 and Legislative Decree No. 196 of 30 June 2003, as amended by Legislative Decree No. 101 of 10 August 2018.

  1. Indemnification

14.1. Without prejudice to what is provided elsewhere in these Terms of Sale, the Customer undertakes to indemnify and hold harmless AURA ZEN, its subsidiaries and affiliates, as well as their respective representatives, partners, and employees, from any damage, liability, claim, or compensation request, including reasonable legal defense costs, advanced by third parties as a result of the Customer’s use of the Website in a manner that is not compliant or in violation of these Terms of Sale.

  1. Information and Complaints

15.1. Any complaints, as well as any communication concerning these Terms of Sale, must be addressed to AURA ZEN at the following contacts:

  1. Alternative Dispute Resolution (Online Dispute Resolution)

16.1. In the event of disputes between the Customer and AURA ZEN, the Customer may attempt to resolve them through out-of-court dispute resolution via the European online dispute resolution platform. The ODR platform is available at the following address http://ec.europa.eu/consumers/odr/ and serves as an access point for users who wish to resolve disputes arising from online sales contracts outside the court. For more information, contact AURA ZEN using the contact details provided in the previous Article 15.

  1. Applicable Law

17.1. The contract and the Terms of Sale between the Customer and AURA ZEN are deemed concluded in Italy and governed by Italian Law. For the resolution of any dispute arising from the conclusion of this distance sales contract, if the Customer is a Consumer, the territorial jurisdiction is that of the reference court of his/her municipality of residence; in all other cases, the exclusive territorial jurisdiction is that of the Court of Milan, excluding any competing or alternative jurisdictions.

  1. Amendments

18.1. AURA ZEN reserves the right to update or modify these Terms of Sale at any time if such updates or modifications are necessary to comply with legal or regulatory provisions, to implement security measures necessary to optimize or improve the features of the Website. AURA ZEN will inform of any updates directly on the Website.

18.2. Therefore, the Customer acknowledges and agrees that it is their responsibility to check the Terms of Sale before concluding any purchase on the Website to verify that they understand and accept all applicable conditions to the purchase they intend to make.
